TorYod Platform Terms of Service

In short: TorYod is a verification and connection platform. We help you prove you are building, and we introduce founders, builders, investors, and buyers to each other. We are not a broker, financial advisor, securities platform, escrow agent, or a party to any deal you make. Decisions and agreements are yours — we give you the tools and the introductions.

1. Background & Definitions

1.1 The TorYod platform ("Platform", "we", "us", "TorYod") is operated by the TorYod team.

1.2 A "User" ("you") is any individual or legal entity that registers for and uses TorYod — whether as a Founder, Builder (co-founder candidate), Investor, or Buyer.

1.3 "Project" means the startup, product, or business a Founder registers on the Platform.

1.4 "Trust Score" means the transparent, signal-based credibility score TorYod computes from verifiable activity and identity data. The exact formula is published at /how-it-works.

1.5 "TorYod Verification Badge" ("Badge") means the verification mark issued to Projects that meet the published identity and activity criteria.

1.6 "Direct Message" means the private 1:1 chat the Platform opens between two Users after they match. "Listing" means a Marketplace post offering a business, idea, or digital asset for sale. "Campaign" means a reward-based crowdfunding campaign. "Pledge" means a backer's contribution to a Campaign in exchange for a reward.

2. What TorYod Is — and Is Not

2.1 TorYod provides the following services:

  • Founder identity verification (KYC), through our third-party provider (Didit)
  • Project activity tracking via the GitHub, Figma, and Notion APIs (read-only)
  • The Trust Score and Verification Badge system
  • Co-Founder matching and match requests
  • Direct Messages — private chat opened automatically when two parties match
  • A Marketplace to list and discover businesses, ideas, and digital assets
  • Reward-based crowdfunding Campaigns
  • An Investor Dashboard for subscription-tier Users

2.2 TorYod is expressly NOT:

  • An investment broker, dealer, or securities platform
  • A financial, legal, or tax advisor
  • A payment institution, escrow agent, or custodian of funds
  • A party to, witness of, or intermediary for any agreement between Users
  • A guarantor of any Project's value, accuracy, success, or outcome

2.3 The Platform connects people and then steps aside. Once two Users are introduced, any negotiation, agreement, contract, payment, or transaction is solely between them and happens at their own risk.

3. TorYod Verification Badge: Meaning and Limitations

This section is very important — please read it in full before using the service.

3.1 The TorYod Verification Badge confirms only the following:

  • (a) The Founder has completed identity verification (KYC).
  • (b) The Project has connected at least one activity source (GitHub, Figma, or Notion) that meets the published minimum activity thresholds.
  • (c) The Project maintains ongoing activity at or above those thresholds.

3.2 The Badge does NOT verify or endorse:

  • The business or financial value of the Project
  • The Project's profitability or likelihood of success
  • The accuracy or completeness of any self-reported information
  • The Project's compliance with any law or regulation
  • The financial trustworthiness of the Founder or Project
  • Whether the Project will continue to operate

3.3 Official statement:

"TorYod Verified status confirms only that the Founder's identity has been verified and the Project meets minimum activity thresholds. It is NOT an endorsement, guarantee, or investment recommendation of any kind."

3.4 Users who display the Badge in marketing materials or pitch decks agree to present it in its correct context, and never in a way that suggests TorYod endorses the Project's success, value, or returns.

3.5 The Badge may be revoked automatically when the criteria are no longer met (see §13), and is restored automatically once activity returns to threshold. Revocation is not an accusation of wrongdoing.

4. Matching, Direct Messages & Connections

4.1 Co-founder matching and investment-interest requests are free. When a request is accepted, the Platform opens a private Direct Message thread so the two parties can talk.

4.2 TorYod is not a contract intermediary. We do not draft, host, witness, e-sign, or enforce any agreement. We do not provide escrow, NDAs, term sheets, or signature services. Any agreement you reach belongs to you and the other party and should be formalised separately with your own legal advisors.

4.3 You are responsible for your own conduct in Direct Messages. Do not share unlawful, misleading, harassing, or confidential third-party content. We may remove access or suspend accounts that abuse messaging (see §13).

4.4 Messages may be processed and stored to operate the service, prevent abuse, and comply with law. We do not sell the content of your messages.

5. Marketplace (Buying & Selling)

5.1 Listings are created by sellers. All figures (revenue, profit, team size, established year, and similar) are self-reported by the seller. The Verification Badge, where shown, attests only to identity and activity — never to the truth of these figures or the value of what is sold.

5.2 Offers, counter-offers, and acceptances happen between buyer and seller. When an offer is accepted, the Platform opens a Direct Message thread. TorYod is not a party to the sale, takes no commission on the transaction itself, holds no funds, and provides no escrow.

5.3 Buyers must conduct their own due diligence before transacting. Sellers must have the right to sell what they list and must not list anything unlawful, fraudulent, or that infringes another's rights.

5.4 Title transfer, payment, warranties, and post-sale disputes are entirely between buyer and seller. We strongly recommend a written, lawyer-reviewed agreement for any real transaction.

6. Crowdfunding (Reward-Based)

6.1 TorYod Campaigns are reward-based only. A Pledge buys a reward or pre-orders a product — it is not the purchase of equity, debt, a security, or any financial return. TorYod does not facilitate securities or investment crowdfunding.

6.2 A Project must earn the Verification Badge (and meet the eligibility gate) before a Campaign can go live.

6.3 Founder obligations to backers. A Founder who runs a Campaign is responsible for delivering the promised rewards, communicating honestly with backers, and using funds for the stated purpose. Failure to do so is a breach of these Terms and may be a breach of consumer-protection law.

6.4 Refund policy. If a Campaign does not reach its funding goal by its deadline, all Pledges are refunded. Where a Founder fails to deliver promised rewards, backers may be entitled to a refund under applicable consumer-protection law; TorYod will reasonably cooperate but is not itself the merchant and does not guarantee delivery.

6.5 Payment processing. Payment functionality may operate in a sandbox/test mode during early access; where it does, no real funds are charged and any on-screen amounts are illustrative. When live payments are enabled, they are handled by a third-party payment provider under that provider's terms. TorYod does not hold or custody backer funds.

7. Terms for Founders

7.1 The Founder represents and warrants that:

  • The information presented in the Project is true and not misleading
  • They have the right and authority to present the Project, and to connect any GitHub/Figma/Notion account used
  • They will not use the Platform to raise funds unlawfully or to offer securities
  • They will promptly update materially changed information

7.2 The Founder acknowledges that:

  • Connected GitHub, Figma, and Notion data is pulled automatically (read-only) to compute the Trust Score
  • The Trust Score and Badge change based on real, ongoing activity
  • TorYod may revoke the Badge if criteria are no longer met or if information is found to be inaccurate

8. Terms for Investors & Buyers

8.1 Investors and Buyers acknowledge and confirm that:

  • All investment and purchase decisions are entirely their own responsibility
  • TorYod is not an investment advisor, and nothing on the Platform is investment, legal, or financial advice
  • They must conduct independent due diligence before investing in or buying anything
  • The Verification Badge and Trust Score are signals of identity and activity — not a guarantee of value, returns, or success

8.2 Data downloaded from the Investor Dashboard:

  • May be used for the User's own internal analysis only
  • May not be redistributed, resold, or scraped without our written permission

9. Fees, Subscriptions & Payments

9.1 Core verification, co-founder matching, and Direct Messages are free. Some features are offered through paid subscription plans (e.g. Founder Pro, Investor Basic/Pro). Current prices are shown on the Pricing page.

9.2 We will not introduce new fees or change your plan price without clear, advance notice. You may cancel a subscription at any time; cancellation stops future renewals and does not, by itself, entitle you to a refund of the current period except where required by law.

9.3 During early access, certain paid or payment features may run in test/sandbox mode. We will not charge you real money for a feature presented as sandbox/mock.

10. Limitation of Liability

10.1 To the maximum extent permitted by law, TorYod is not responsible for:

  • (a) Any loss or damage arising from a deal, investment, sale, pledge, or agreement made between Users, on or off the Platform
  • (b) Inaccurate, incomplete, or false information provided by any User
  • (c) Fraudulent or deceptive conduct by any User
  • (d) The outcome of any match or introduction between Users
  • (e) Content or data from external services (GitHub, Figma, Notion, payment providers) that we display or relay
  • (f) Temporary or permanent interruptions of third-party APIs or of the Platform itself

10.2 Liability cap. Where TorYod is found liable, our total liability is limited to the subscription fees you actually paid to us in the 3 months before the event giving rise to the claim.

10.3 What this cap does not exclude. Nothing in these Terms limits liability that cannot be limited by law — including liability for our own fraud, wilful misconduct, or gross negligence, or your non-excludable rights under Thai consumer-protection and data-protection law.

10.4 Deals made between Users. TorYod takes no part in, has no knowledge of, and bears no responsibility for any agreement Users make. Users are solely responsible for assessing their own risk and should obtain independent legal advice before signing anything.

11. Your Rights & Our Commitments to You

We want these Terms to be fair, not one-sided. We commit to the following:

  • Transparency. The Trust Score formula is public (/how-it-works). We will not secretly change how scores or Badges work without notice.
  • Control of your data. You can access, correct, export, or delete your data at any time via Settings → Account, subject to §12.
  • Read-only integrations. We only read from GitHub, Figma, and Notion to compute your score. We never write to, edit, or delete your repositories or files.
  • No surprise charges. We give advance notice before any price change and never charge real money for sandbox features.
  • Fair revocation. Badge or score changes follow the published criteria, and Badges restore automatically once you meet them again.
  • Honest marketing. We will not overstate what the Badge means, and we ask you not to either.

12. Personal Data Protection (PDPA)

12.1 TorYod collects and processes personal data in accordance with the Personal Data Protection Act B.E. 2562 (PDPA), and only the data necessary to operate the service.

12.2 Data collected includes: name, email, KYC verification results, and GitHub/Figma/Notion activity metrics.

12.3 KYC identity data is processed under a data-processor agreement with our provider (Didit), stored securely, and is never shown publicly or sold to Investors or Buyers.

12.4 You may access, correct, export, or request deletion of your personal data via Settings → Account → Delete Account. After deletion, data is retained for up to 90 days for audit and legal purposes, then permanently purged, unless a longer period is required by law.

12.5 We do not sell your personal data.

13. Account Suspension and Termination

13.1 We may suspend or terminate an account — with notice where reasonably possible — if:

  • KYC data is found to be false
  • There is fraudulent or deceptive conduct toward other Users
  • These Terms are materially violated
  • The Platform is used for unlawful activity

13.2 The Verification Badge is revoked automatically if:

  • Activity stays below threshold for a sustained period (per the published criteria)
  • KYC status is revoked
  • The Founder requests it

13.3 You may close your account at any time. We will handle your data on closure as described in §12.

14. Governing Law & Disputes

14.1 These Terms are governed by the laws of Thailand.

14.2 We encourage you to contact us first so we can try to resolve any dispute in good faith. If a dispute cannot be resolved, the Thai courts have jurisdiction. Nothing here removes any non-waivable right you have under Thai law.

15. Amendments to These Terms

We may amend these Terms, with at least 30 days' advance notice to Users for material changes. If you continue to use TorYod after the effective date, you accept the updated Terms. If you do not agree, you may close your account before they take effect.
